A set of laws called the Uniform Commercial Code (UCC) governs contracts in 49 of the 50 states (Louisiana has adopted most, but not all, of the UCC). The UCC has also been adopted in the District of Columbia, Puerto, Guam and the U.S. Virgin Islands. Therefore, no matter where you conduct business, parties that sign a valid contract are obligated to fulfill its terms in accordance with the UCC.</p>
<p>That said, it is important to recognize the thousands of contracts that an individual, and especially a small business owner, will sign and otherwise agree to throughout their lifetime. Everything from internet and phone contracts to home loans represent the classic, signed agreement. But certain commercial purchases, parking lot payments, internet terms of service (where you check the “Yes I’ve read and understand” box, but never actually read the terms) and other seemingly mundane transactions constitute a type of contract.</p>
<p><span style="text-decoration: underline;"><strong>Sometimes You Need to Cancel a Contract</strong></span></p>
<p>As the busy and successful small business owner that you are, you will someday find the need to cancel a contract that you have signed or otherwise agreed to. 				<content:encoded><![CDATA[<p>Let&#8217;s face it. The vast majority of working Americans work for one reason … to make money to pay for the goods and services that they need (or want) and to save for the future.</p>
<p>There are other benefits of work, of course. Depending on what our job is, our secondary motivations may be altruistic. Or they may be related to furthering an interest or ability that we have. But regardless of what we do, most of us work to support ourselves financially.</p>
<p>Employers can attract the best and brightest to help guide their company by realizing this basic fact about human nature. That does not mean that companies must offer the highest directors&#8217; fees. Companies can attract talented directors by providing perks that are attractive to potential directors.</p>
<p><span style="text-decoration: underline;"><strong>An Effective Way to Attract and Keep Directors</strong></span></p>
<p>One very effective perk is to allow non-employee directors to defer part of their directors&#8217; fees and receive matching contributions from the company. By doing this, directors can accumulate significant income which will be taxed at much lower rates when they retire.</p>
<p>In Plans that include employer-matching contributions, the company agrees to match the non-employee director&#8217;s contribution with an amount equal to a stated portion of directors fees.</p>
<p>Contributions to the Plan are not subject to income tax until they are paid out. Furthermore, earnings and investment appreciation on amounts in the Plan are also not subject to income tax until they are paid out. Since such income is usually paid out when the recipient has retired, it will be taxed at the retiree&#8217;s income tax rates at that time … usually a much lower rate.</p>
<p><span style="text-decoration: underline;"><strong>Benefits to Company</strong></span></p>
<p>Why does such an arrangement benefit a company? It is a “carrot” that is effective in attracting – and retaining – skilled directors. The more lucrative the benefits offered, the more likely that skilled applicants will want to provide their expertise to the company.</p>
<p><span style="text-decoration: underline;"><strong>Risks</strong></span></p>
<p>There are some risks to deferred compensation plans.</p>
<p>Unlike a 401-K plan, which is a protected investment, money invested in a deferred compensation plan is vulnerable if a company goes bankrupt. If a company goes out of business, creditors can go after funds set aside in these Plans to help satisfy outstanding debts.</p>
<p>In other words, if a non-employee director defers his or her compensation and invests it in a Plan, and the company goes out of business, there is a good chance that the director could lose all of the deferred compensation he or she has accrued during his tenure.</p>
<p>And, as mentioned earlier, money invested in a Plan is subject to rules. If you defer part of your compensation, but suddenly need it six months later, you will likely be out of luck.</p>
<p><span style="text-decoration: underline;"><strong>Worth the Risks</strong></span></p>
<p>Despite these risks, surveys suggest that 90% of public companies have at least one deferred compensation plan and more than 65% provide a company contribution to their Plan.</p>

<p>In the business world, that assertion often holds true, as well. Sometimes a company excels in one core competency, but may lack expertise in another area. To fill any voids in their capabilities, businesses sometimes seek out similar or complementary businesses that are skilled in the areas they themselves are not.</p>
<p>Such a partnering in business is called a &#8220;Strategic Alliance.&#8221;</p>
<p>Of course, to work, a strategic alliance must benefit both parties involved. Let&#8217;s consider an example.</p>
<p><span style="text-decoration: underline;"><strong>Here&#8217;s a Possible Scenario</strong></span></p>
<p>Imagine there is a small, start-up candy-manufacturing company. We will call this company &#8220;Business A.&#8221; &#8220;Business A&#8221; has developed a unique e-mail candy-of-the-month-club service. It produces novelty candy that is suddenly in high demand. The business was written up on a popular online blog and demand has skyrocketed. Sounds great, right?</p>
<p>Well it would be, except that &#8220;Business A&#8221; is an expert in candy making, but not in customer service. It has a huge factory and skilled operators and makes a great product. But the company does not have the knowledge or staff to handle the sudden influx of customer questions, problems, shipment confirmations, and all that goes along with a high-volume mail order business.</p>
<p>As such, &#8220;Business A&#8221; cannot handle this unanticipated high retail demand for its products. And that means it cannot grow in sales or profitability.</p>
<p>On the other hand, &#8220;Business B&#8221; is a busy call center that has operators who answer phones and e-mails 24 hours a day, 7 days a week. The problem is, &#8220;Business B&#8221; recently lost its largest client. It is struggling to meet payroll and pay its overhead each month. &#8220;Business B&#8221; is on the verge of going out of business.</p>
<p>Unfortunately, &#8220;Business A&#8221; cannot yet afford to hire &#8220;Business B&#8221; outright. The two cannot afford to work together. Or can they?</p>
<p>A Strategic Alliance Agreement could benefit both parties. &#8220;Business B&#8221; would handle the customer-service demands that have suddenly arisen for the candy manufacturer. <p>You may have heard of DNRs and Living Wills, two documents included in the category described above. Both of them apply when you, the patient, are unable to speak for yourself. However, they are not the same and will result in different treatment for you.</p>
<p>In order to make sure your end-of-life needs are met, you must know the difference between a DNR (Do Not Resuscitate order) and a Living Will.</p>
<p><span style="text-decoration: underline;"><strong>What a DNR Does</strong></span></p>
<p>A DNR is a medical document and a Living Will is a legal one.</p>
<p>A DNR must be signed by your physician to be effective, but you can create a Living Will on your own.</p>
<p>A DNR deals with measures taken if you die and a Living Will applies to many other life-prolonging treatments.</p>
<p>A DNR is a medical order that tells your physicians not to perform CPR or use a breathing tube if your heart or lungs give out. In other words, if you are in cardiac or respiratory arrest, your doctors are directed not to aid you. If you die, your doctors are instructed not to try to bring you back.</p>
<p>Most often people suffering from long-term illness or who are very old choose to have DNRs. This prevents them from being brought back into a life of suffering when there is no chance they will ever return to full health. DNRs are usually signed when quality of life is already very low and the patient wants to preserve his or her dignity in death when his or her time comes.</p>
<p><span style="text-decoration: underline;"><strong>What a Living Will Does</strong></span></p>
<p>A Living Will, on the other hand, outlines specific life-prolonging treatments a patient wants or wishes to refuse. It is put in place so that, in the event a person is unable to communicate his or her wishes him or herself, the individual is still able to make important health care decisions. That is, if you are in a coma or another circumstance where you cannot speak, your family and doctors will know what to do (i.e., whether to keep you alive or “pull the plug”).</p>
<p>You can include your wishes about a DNR in your Living Will. However, it is most effective to have a DNR separate from your Living Will. DNRs are medical documents and are more often consulted in moments of quick decision-making, such as when you might need CPR. If your DNR is not readily available to your doctors, they will attempt CPR anyway; they are legally obligated to do so.</p>
<p>This is especially true if you live at home (are not a long-term patient at a hospital or hospice). If you have a DNR, you can get a DNR bracelet that will tell EMTs not to perform CPR if your heart stops or you stop breathing. Without that, they will attempt to resuscitate you.</p>
<p>If you are a long-term patient at a hospital or hospice, you can help ensure that your doctors are aware of your DNR by telling a loved one of your wishes. They will remind your physicians on a regular basis of the DNR and will make it less likely to be overlooked.</p>
<p>If you have a Living Will, you can specify addition life-prolonging/end-of-life treatments that you want or wish to reject, such as breathing or feeding tubes, intravenous hydration, and organ donation.</p>

<p style="padding-left: 30px;">• Take Pictures – As a supplement to your Tenant’s Pre-Inspection List you should pictures of the place you are about to rent. When you inspect the house or apartment, pay special attention to things that need repair or are damaged. Is the carpet stained? Are the walls peeling anywhere? Are there any dents, cracks, tears, etc. in the walls or equipment?</p>
<p style="padding-left: 30px;">• Check the windows – do they close easily or are they painted shut? Are the frames broken, cracked, etc.? Check the bathroom and kitchen for malfunctioning faucets and appliances. A still camera is good enough – but if you can video the house or apartment, it will be even better.</p>
<p style="padding-left: 30px;">Don’t be a victim. Don’t let the landlord take advantage of you. Be pro-active in protecting your rights, your money and your peace of mind.</p>

When they do, they often receive a paper stock certificate that serves as a receipt proving they own the stock (sometimes the stock is held by their broker – but this is rarely the case with small corporation stock). Each stock certificate contains a unique serial number and is a one-of-a-kind document.</p>
<p>As is the case with any piece of paper, a stock certificate can be lost, misplaced, thrown away or damaged in a flood or fire. Stock certificates also can be stolen.</p>
<p>If a person is not able to find the physical stock certificate to prove ownership, his likely next step is to notify the issuing company and request a replacement certificate</p>
<p><span style="text-decoration: underline;"><strong>How does he or she obtain a Replacement Stock Certificate?</strong></span></p>
<p>But how does the issuing company know that the requestor is the actual owner. How does the issuer know that, at a later date, someone else won&#8217;t appear and claim to be the real owner?</p>
<p>The best answer is to have the requestor indemnify the issuer against any cost or liability that it incurs as a result of its issuance of the new stock certificate to the requestor. Why is this necessary?</p>
<p><span style="text-decoration: underline;"><strong>Here&#8217;s a Possible Scenario</strong></span></p>
<p>Assume that someone stores his stock certificates in an unlocked filing cabinet in his home office. One day, he goes to his home office to retrieve some of his stock certificates because he wants to sell that stock. He discovers that the certificates are missing.</p>
<p>Later, the rightful stockowner discovers that his long-time trusted personal assistant has been stealing from him. He surmises that this person stole the stock certificates, along with several other valuable items that were in his home office. Someone who is unscrupulous enough to steal probably would not think twice about selling what he stole – probably to an innocent third party who is unaware that he or she is about to buy stolen stock.</p>
<p>By requiring that the claimant to sign an “Indemnity Regarding Lost Stock Certificate” form, the issuing company is protected against a later claim of ownership by the rightful owner of the stock.</p>
<p><span style="text-decoration: underline;"><strong>What is an “Indemnity Regarding Lost Stock Certificate”</strong></span></p>
<p>An “Indemnity Regarding Lost Stock Certificate” form requires the indemnitor (the person who received the replacement certificate) to hold the issuing company harmless from any claims, damages, or expenses that could conceivably occur as a result of the company having reissued the missing stock certificate to the claimant.</p>

<p style="padding-left: 30px;">• protection from bad acts of customers</p>
<p style="padding-left: 30px;">• protection from bad acts of your stockholders.</p>
<p>You have worked hard to get where you are. It just makes sense to ensure that all your hard work is not lost to acts that you could have protected against.</p>
<p>You probably do everything you can to protect your company from bad acts of competitors, from foreseeable negative market forces, from bad acts of your employees and from bad acts of customers.</p>
<p><span style="text-decoration: underline;"><strong>But have you done enough to protect your company from bad acts of your stockholders?</strong></span></p>
<p>The way to do this is by requiring every stockholder to sign a Noncompetition, Nondisclosure &amp; Non-Solicitation Agreement.</p>
<p><span style="text-decoration: underline;"><strong>What is included in such agreements?</strong></span></p>
<p>A Noncompetition, Nondisclosure &amp; Non-Solicitation Agreement is essentially three agreements in one:</p>
<p style="padding-left: 30px;">• Noncompetition—this section specifies that the shareholder may not attempt to engage in any type of business, profession or activity that is in direct competition with your company</p>
<p style="padding-left: 30px;">• Nondisclosure—the shareholder agrees not to disclose any proprietary information to outside sources. This may include (but is certainly not limited to) trade secrets, business practices or processes that give your company a competitive advantage. Disclosing this information would also put you at a significant competitive disadvantage.</p>
<p style="padding-left: 30px;">• Non-Solicitation—this part restricts the shareholder from soliciting your customers, employees or other shareholders to draw them away from your business. This is essentially stealing your employees to go work for the competition.</p>
<p>With such an agreement in place you should feel reasonably well-protected. Your stockholders will understand that if they do any of these bad acts, there will most likely be a legal challenge.</p>
<p>At the very least, having such an agreement in place puts stockholders on notice that you are serious. Possibly just knowing you are serious about the safety, security and future of your business will make some stockholders think twice.</p>
<p>On the other hand, if you do not have these in place, or if you have used poorly written, ineffective agreements, then you are just asking for trouble.</p>
<p><span style="text-decoration: underline;"><strong>Here&#8217;s a Possible Scenario</strong></span></p>
<p>Imagine that you have decided it is time for your small business to start requiring all of your stockholders to sign such an agreement. You go out and find a form. Better yet, you create it yourself.</p>
<p>All your stockholders sign it without question.</p>
<p>Finally, you feel secure and protected.</p>
<p>A few years later, one of your stockholders actually violates your agreement. He starts a similar company that is in direct competition with you. Not only that, but he also solicits several key employees to come along. Even worse, they are using some of your key processes and trade secrets!</p>
<p>Tough situation, but you feel covered.</p>
<p>After months of legal battle, you actually <span style="text-decoration: underline;"><strong>LOSE the case</strong></span>!</p>
<p><span style="text-decoration: underline;"><strong>How could this have happened?</strong></span></p>
